Terms and conditions of sale

1. Scope

These general terms and conditions of sale govern every order placed with Yspekh Sàrl (hereinafter "Yspekh") through the website www.yspekh.ch, whether for accessories, consumables or training registrations.

The shop is intended exclusively for professional customers: companies, laboratories, engineering firms, public bodies and self-employed persons acting in the course of their business. This is why prices are shown excluding tax.

Placing an order constitutes acceptance of these terms. The customer's own purchasing conditions apply only if Yspekh has accepted them in writing.

2. Formation of the contract

The product pages and prices shown on the website do not constitute an offer in the legal sense, but an invitation to order. The customer's order is an offer; the contract is formed when Yspekh confirms it, at the latest upon dispatch of the goods or confirmation of the registration.

Yspekh reserves the right to decline an order, in particular where an item is no longer available, a training session is full, or an obvious error affects the price shown.

3. Prices

Prices are stated in Swiss francs, excluding value added tax. Swiss VAT, at the statutory rate in force, is added to the order amount and appears on the invoice.

Shipping and packaging costs are not included in the prices shown. They are confirmed when the order is processed and appear on the invoice. For deliveries outside Switzerland, customs duties, import taxes and clearance charges are borne by the customer.

Some references are offered on request: their price depends on the configuration chosen and is the subject of a written offer.

4. Payment

Payment is made against invoice, within 30 days of the invoice date, without discount. No payment is collected on the website.

Yspekh may require advance payment or a deposit, in particular for a first order or an order of significant value.

On the due date the customer is in default without any reminder being necessary (art. 102 para. 2 CO). Default interest of 5% per year is payable (art. 104 CO) and collection costs are borne by the customer.

5. Delivery

Delivery times are indicative. A delay gives no right to cancel the order or to claim damages, unless otherwise agreed in writing.

Risk passes to the customer once the goods are handed over to the carrier.

Goods delivered remain the property of Yspekh until the price has been paid in full.

6. Training registrations

Registration for a session is personal and confirmed by e-mail. Places are limited; registrations are recorded in the order in which they are received.

Where the customer cancels:

• more than 30 days before the session begins: free of charge;
• between 30 and 15 days before: 50% of the registration fee remains payable;
• less than 15 days before, or non-attendance on the day: the full fee remains payable.

The customer may at any time have the registered participant replaced by another person, free of charge, on written notice before the session begins.

Yspekh may cancel or postpone a session, in particular if too few people have registered. Registrations are then refunded in full or carried over, at the customer's choice. No further compensation is due, in particular for travel or accommodation costs.

7. Warranty for defects

The customer inspects the goods on receipt and reports any apparent defect in writing within eight days; failing that, the goods are deemed accepted (art. 201 CO). Hidden defects must be reported immediately upon discovery.

The warranty applies in accordance with art. 197 et seq. of the Swiss Code of Obligations. For third-party instruments and accessories, the manufacturer's warranty applies, to its extent and for its duration.

Excluded from the warranty are normal wear and tear, consumables, and defects resulting from improper use, work carried out by an unauthorised third party, or failure to follow the manufacturer's instructions.

8. Liability

Yspekh's liability is limited to loss caused by gross negligence. Compensation for indirect loss, loss of profit and loss of data is excluded to the extent permitted by law. Mandatory statutory provisions, in particular those of the Federal Act on Product Liability, are reserved.

9. Returns

Swiss law provides no general right of withdrawal for distance purchases. A return is therefore accepted only with Yspekh's written agreement, for an item that is new, complete and in its original packaging; return shipping costs are borne by the customer. Items made or configured to order, and opened consumables, are not taken back.

10. Data protection

Data provided when placing an order is processed in accordance with our privacy notice. Accounting records, invoices included, are kept for ten years as required by art. 958f CO.

11. Governing law and jurisdiction

These terms are governed by Swiss law, to the exclusion of the United Nations Convention on Contracts for the International Sale of Goods.

The exclusive place of jurisdiction is the registered office of Yspekh Sàrl, subject to mandatory statutory provisions.
